Terms of Service

1. Acceptance of Terms

By accessing or using the website located at idyllagency.com or engaging Idyll Agency for any services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our site or services.

2. Services Provided

Idyll Agency provides fractional COO and CMO consulting, business growth strategy, marketing systems, operational frameworks, and related advisory services to service-based businesses. The specific scope of services will be outlined in a separate agreement, proposal, or statement of work provided to each client.

3. Client Responsibilities

Clients engaging Idyll Agency agree to:

  • Provide accurate and complete information necessary to perform services

  • Respond to requests for feedback, approvals, and content in a timely manner

  • Honor the agreed payment schedule as outlined in the applicable proposal or agreement

  • Maintain confidentiality of any proprietary frameworks, templates, or processes shared during the engagement

4. Intellectual Property

All frameworks, templates, tools, strategies, and content created by Idyll Agency remain the intellectual property of Idyll Agency unless explicitly transferred in writing. Clients are granted a non-exclusive license to use deliverables for their own business purposes. Resale, redistribution, or white-labeling of Idyll Agency materials is prohibited without written consent.

5. Payment Terms

Payment terms are specified in the individual client agreement or proposal. In the absence of a separate agreement:

  • Invoices are due within 14 days of receipt

  • Late payments may be subject to a 1.5% monthly service charge

  • Idyll Agency reserves the right to pause work on accounts with outstanding balances

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Idyll Agency will not disclose client business information to third parties without consent, except as required by law. Clients agree to maintain the confidentiality of Idyll Agency's proprietary methodologies, frameworks, and tools.

7. Limitation of Liability

Idyll Agency provides advisory and strategic services. While we work diligently to support your business growth, we cannot guarantee specific financial outcomes or results. To the fullest extent permitted by law, Idyll Agency shall not be liable for indirect, incidental, or consequential damages arising from the use of our services.

8. Termination

Either party may terminate a service engagement with 30 days written notice unless otherwise specified in the client agreement. Upon termination, outstanding invoices for work completed become immediately due.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles.

10. Changes to These Terms

Idyll Agency reserves the right to update these Terms of Service at any time. Changes will be posted to idyllagency.com with an updated effective date. Continued use of our services following any changes constitutes acceptance of the updated terms.
